Terms of Service

These terms govern your use of Latent, the AI image studio built by Silverthread Labs. They are written to be read, so read them.

Acceptance Of These Terms

By joining the Latent waitlist, creating an account, or using the studio, you agree to these terms. They form an agreement between you and Silverthread Labs.

  • They cover the Latent website at latentpowered.com and the Latent studio application.
  • If you do not agree with any part of them, do not use Latent.
  • If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

What Latent Is

Latent turns a written prompt into images and captions for social media, and can publish them to accounts you connect.

  • Image generation from your prompt, optionally steered by reference images you supply.
  • Editing of generated images: inpainting a region, outpainting to a new shape, and adapting a style while preserving the subject.
  • A private library of everything you have generated and everything you have uploaded.
  • Caption and copy generation, and an assistant that can carry out these actions on your instruction.
  • Publishing to connected social accounts, immediately, at a scheduled time, or through a queue.
  • Latent is pre-launch. Features change, and some described here may not be available to your account yet.

Your Account

You need an account to use the studio, and you are responsible for what happens under it.

  • You must be at least 16 years old.
  • Give accurate registration details and keep your email address current. It is how we reach you about your account.
  • Sign in with an email address and password, or with GitHub or Google. Keep your credentials confidential.
  • You are responsible for all activity under your account. Tell us immediately if you suspect someone else has access.
  • One account per person. Do not share an account, and do not create accounts to evade a suspension or to obtain repeated free credit.

Plans, Credits And Billing

Paid work in Latent is metered in credits. Plans, prices and credit amounts are shown before you buy; this clause is about the rules, not the numbers.

  • Credits are the internal unit for paid operations. Generating, regenerating and editing images spend credits; so does caption and copy generation.
  • Publishing does not spend credits.
  • Publishing does require an active subscription, or the free trial every new account starts with. Composing and saving drafts never does.
  • You are quoted the cost before a paid operation runs, and you are charged when it runs. If a run fails, the credits are returned to your balance.
  • Credits have no cash value, cannot be transferred between accounts, and are not redeemable for money.
  • Subscriptions renew automatically at the end of each period unless you cancel first. Cancelling takes effect at the end of the period you have paid for, and you keep access until then.
  • Credit packs are available to subscribers.
  • Billing is handled by Polar, our merchant of record. Polar collects payment, issues invoices, and is the seller of record for the transaction.
  • We will give notice before a price change takes effect. Continuing a subscription after that date is acceptance of the new price.
  • Statutory rights to a refund are unaffected by anything in this clause.

Your Content And Who Owns What

Your prompts, your uploads and the images Latent makes for you are yours. We claim no ownership of them.

  • You keep ownership of everything you write and upload, and of the outputs generated for you.
  • You grant us a limited licence to store, process and transmit your content strictly to operate the service on your instruction: generating from it, storing it in your library, and sending it to a platform you asked us to publish to.
  • You confirm you have the rights to any image you upload as a reference or asset, including the rights of anyone identifiable in it.
  • Similar prompts can produce similar images for different people. We do not guarantee that an output is unique, and we cannot promise it is protectable by copyright. The law on AI-generated works differs by country and is unsettled.
  • We do not use your prompts or images to train models.
  • The Latent name, interface, and the code behind it remain ours.

Acceptable Use

Latent generates images and publishes them under your name. What you may not use it for follows.

  • Anything illegal, and in particular any sexual content involving minors. We report this and terminate the account without notice.
  • Sexual or intimate imagery of a real person created without their consent.
  • Images that impersonate a real person or organisation, or that are presented as a genuine photograph of something that did not happen.
  • Harassment, hate speech, incitement to violence, or content targeting a private individual.
  • Infringing someone else’s copyright, trademark or other rights.
  • Deceptive commercial content: fabricated endorsements, fake reviews, or claims you know to be false.
  • Circumventing credit accounting, rate limits or the access wall; automating the service outside features we provide; or reselling raw access to the models behind it.
  • Publishing anything that breaches the rules of the platform you publish to. Those platforms’ terms apply to you in full, and they, not us, decide what stands on their service.

Content Screening

Prompts are screened before a generation runs, and the image model applies filters of its own.

  • A prompt that is flagged is refused and no generation runs. You are told, and you are not charged.
  • Screening is automated and imperfect. It will sometimes refuse something acceptable, and it will sometimes allow something we would not.
  • A generation that passed screening is not a statement that the result is lawful, accurate or fit to publish. That judgement remains yours.
  • We may refuse or withdraw service for content that breaches the Acceptable Use clause, whether or not screening caught it.

AI Output

Everything Latent generates is a draft. Review it before it goes out under your name.

  • Generated images and captions may contain errors, distortions, invented detail, or text that reads wrongly.
  • The same prompt can produce different results on different runs. Output is not deterministic.
  • You are responsible for anything you publish, whether you wrote it or Latent suggested it.
  • We make no guarantee that an output is accurate, appropriate for your audience, or compliant with any regulation that applies to your industry.

Publishing And Connected Accounts

When you connect a social account and publish, you are instructing us to post on your behalf.

  • You must own or be authorised to post to every account you connect.
  • Publishing goes through a third-party provider and then to the platform. A post can be delayed, altered or rejected by either, and by rules the platform changes without telling us.
  • A scheduled post is an instruction to attempt publication at that time. It is not a guarantee of delivery.
  • Publications made during the free trial carry a small mark on each published image and a short attribution line in the caption, both fixed at the moment you submit them. Publishing under a paid subscription carries neither.
  • You can disconnect an account at any time in Latent, or revoke our access from the platform’s own settings.
  • We are not responsible for action a platform takes against your account in response to what you publish.

Availability

Latent is pre-launch software and is provided without an uptime commitment.

  • We may change, suspend or withdraw any feature. Where a change is material and adverse, we will give notice.
  • The service depends on third parties: the model provider, the payment provider, the publishing provider and the platforms themselves. When one is down, the part of Latent that depends on it is down.
  • We may carry out maintenance that interrupts the service.
  • Nothing here is a service level agreement, and none is offered at this stage.

Suspension And Termination

Either of us can end this. Here is what that means in each direction.

  • You can stop using Latent at any time, cancel your subscription, and ask us to close your account.
  • We may suspend an account that breaches these terms. A suspended account cannot sign in or generate, and we will give the reason, with notice where it is practical to give it.
  • For a serious breach we may terminate immediately and without notice. Illegal content is the clearest case.
  • On termination your right to use Latent ends, and your data is handled as set out in the Privacy Policy.
  • Unused credits are not refunded when an account is terminated for a breach of these terms.
  • The clauses that are meant to survive the end of this agreement do: Your Content, Disclaimers, Limitation of Liability and Governing Law.

Privacy

How we handle your data is set out in the Privacy Policy, which forms part of these terms.

  • It states what we collect, which processors receive it, how long we keep it, and what you can ask us to do about it.
  • Data-rights requests go to privacy@latentpowered.com.
  • Using Latent means accepting both documents together.

Disclaimers

Latent is provided "as is" and "as available", without warranties of any kind, whether express or implied.

  • We do not warrant that the service will be uninterrupted, error-free or secure.
  • We do not warrant that generated content will be accurate, original, or suitable for your purpose.
  • We disclaim the implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
  • Where your local law gives you consumer rights that cannot be excluded, this clause does not exclude them.

Limitation Of Liability

Our liability to you is capped, and some kinds of loss are excluded entirely.

  • We are not liable for indirect, incidental, special, punitive or consequential loss.
  • We are not liable for lost revenue, lost customers, lost data, or the consequences of a post that was published, was not published, or was published late.
  • Our total liability for any claim is limited to what you paid us in the twelve months before the claim arose.
  • Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not permit us to limit.
  • Some jurisdictions do not allow these limitations. Where that is so, the narrowest limitation the law permits applies instead.

Changes To These Terms

We will update these terms as the product changes.

  • The date under the title is the date of the most recent revision.
  • For a material change we will email account holders, or place a notice on the site, before it takes effect.
  • Continuing to use Latent after a change takes effect means you accept the revised terms. If you do not, stop using the service and close your account.

Governing Law

These terms are governed by the law of the jurisdiction in which Silverthread Labs operates.

  • Disputes will be resolved by binding arbitration where that is permitted.
  • A class action waiver applies where it is permitted by law.
  • You consent to the jurisdiction of the applicable courts.
  • If any clause of these terms is held unenforceable, the rest stays in force.
